Terms of Service

1. Parties and Acceptance

These Terms of Service ("Terms") constitute a binding legal agreement between Carehub ("Carehub", "we", "us", or "our"), the operator of carehubs.tech, and the clinic, organisation, or individual ("Customer", "you", or "your") that accesses or uses the Carehub platform.

By creating an account, clicking "I agree", or otherwise accessing the service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, do not use the service.

2. Service Description

Carehub is a multi-tenant, cloud-based clinic management and online booking Software-as-a-Service (SaaS) platform. The service includes, depending on your subscription tier: patient record management, appointment scheduling, clinical documentation, staff management, patient portal, WhatsApp messaging, analytics, and related features as described at carehubs.tech.

Carehub makes commercially reasonable efforts to maintain the platform with at least 99% monthly uptime (excluding scheduled maintenance). Carehub does not represent that the service will be error-free, uninterrupted, or meet any specific performance threshold. Scheduled maintenance windows will be communicated at least 48 hours in advance where possible.

Service-Level Credits

If monthly uptime (excluding scheduled maintenance, force majeure, and issues caused by the customer or third-party services outside Carehub's control) falls below the thresholds below, the customer may request a pro-rata service credit on their next invoice by emailing [email protected] within 30 days of the affected period:

Service credits are the customer's sole and exclusive remedy for any failure to meet the uptime target.

Carehub reserves the right to suspend or terminate accounts that violate this policy without prior notice where continued operation poses a security or legal risk.

5. Intellectual Property

Carehub Platform

Carehub owns all right, title, and interest in and to the platform, including all software, designs, documentation, trademarks, and other intellectual property. These Terms do not grant you any ownership interest; you receive only a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal business operations during the subscription term.

Your Data

You retain all ownership of the data you and your staff upload or input into the platform ("Customer Data"), including patient records and clinical notes. You grant Carehub a limited licence to process Customer Data solely to provide and improve the service. Carehub will not use Customer Data for any other purpose.

Feedback

If you provide suggestions, ideas, or feedback about the platform, you grant Carehub a royalty-free, perpetual licence to use such feedback for any purpose without obligation or compensation to you.

Term

These Terms begin on the date you create an account and continue until your subscription is cancelled or terminated.

Termination for Convenience

Either party may terminate the subscription at any time. If you cancel, your access continues until the end of the current paid billing period; no prorated refunds are issued for unused time.

Termination for Cause

Carehub may terminate your account immediately if you (a) materially breach these Terms and fail to cure within 10 days of written notice; (b) engage in activity that poses a security risk, legal liability, or reputational harm to Carehub or other customers; or (c) become subject to insolvency proceedings.

Effect of Termination

Upon termination: (a) your access to the platform ceases; (b) your Customer Data is retained for 90 days to allow export — you may request a data export during this window by emailing [email protected]; (c) after 90 days, Customer Data is permanently deleted. Provisions of these Terms that by their nature should survive termination (IP ownership, limitation of liability, indemnification, governing law) will do so.

8. Confidentiality

Each party ("Recipient") agrees to keep the other party's ("Discloser's") Confidential Information strictly confidential, to use it only to perform its obligations under these Terms, and to restrict access to those who need to know. "Confidential Information" means any non-public information disclosed by the Discloser that is marked confidential or would reasonably be understood to be confidential. This obligation does not apply to information that: (a) is or becomes public through no fault of the Recipient; (b) the Recipient already knew; (c) was independently developed; or (d) must be disclosed by law (in which case reasonable notice will be given to enable the Discloser to seek a protective order).

9. Warranties and Disclaimers

Mutual Warranties

Each party represents that it has the legal authority to enter into these Terms.

Carehub Warranty

Carehub warrants that the platform will perform materially in accordance with its documentation under normal use. Your sole remedy for a warranty breach is that Carehub will use commercially reasonable efforts to correct the defect.

Disclaimer

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. CAREHUB DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CAREHUB DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

No Medical Advice

Carehub is a practice-management tool, not a clinical decision-support system. Carehub does not provide medical advice, diagnosis, or treatment. All clinical decisions are the sole responsibility of the licensed healthcare professionals using the platform.

AI-Generated Content

Where Carehub offers AI-assisted features (e.g., clinical summaries generated by third-party large language models such as Google Gemini), all AI-generated output is provided for informational assistance only and must be independently reviewed by a qualified clinician before being relied upon for any clinical purpose. AI output may contain errors, omissions, hallucinated content, or clinically inappropriate suggestions.

To the maximum extent permitted by law, Carehub disclaims all liability for errors, omissions, or clinical consequences arising from any reliance on AI-generated output. The clinician reviewing the content is solely responsible for its accuracy, appropriateness, and use. By enabling AI features, you acknowledge and accept this risk allocation.

Sub-Processor Changes and Termination Right

Carehub will provide at least 30 days' prior written notice (by email) before engaging a new sub-processor that processes Customer Data. If you reasonably object to a new sub-processor on legitimate data-protection grounds, you may terminate your subscription by written notice during the 30-day notice period and receive a pro-rata refund of any pre-paid, unused fees. This is your exclusive remedy for a sub-processor change you object to.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

These limitations apply even if a remedy fails its essential purpose. Some jurisdictions do not allow exclusion of certain damages; in such cases, liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Carehub and its officers, directors, employees, and agents from any third-party claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the platform in violation of these Terms; (b) your Customer Data, including any claim that it infringes a third party's rights; (c) your violation of any applicable law or regulation; or (d) your relationship with your patients, including any clinical malpractice claims.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Arab Republic of Egypt, without regard to its conflict-of-law rules. Any dispute arising from these Terms that cannot be resolved amicably within 30 days of written notice will be subject to the exclusive jurisdiction of the competent courts of Cairo, Egypt. Customers located in the European Union retain the right to bring claims before the courts of their member state for consumer-law matters.

13. Changes to Terms

Carehub may update these Terms from time to time. We will notify you of material changes by email at least 30 days before the new terms take effect. If you do not agree to the changes, you may cancel your subscription before the effective date. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
